| AFFILIATE AGREEMENT This Agreement is made between vss2000.com (www.vss2000.com), a wholly owned web site operated by Bristol International, Inc., and individual or entity that participates in the vss2000.com Affiliate Program (the "Program"). The following defined terms are used in this agreement. "Affiliate" means an Applicant approved by vss2000.com to participate in the Program. The term "we' and "our" refer to vss2000.com ("Vector2000"); the term "you" and "your" refer to participant (the "Affiliate partner") in the vss2000.com's Affiliate Program. "Sponsoring Web Site" refers to the Web site that you will link to our Web site. This Agreement contains the complete terms and conditions of the Program. Upon our acceptance of your application into the Program, you agree to be legally bound by the terms of this Agreement. Enrollment in the Affiliate Program To apply for enrollment in the Affiliate Program, you must submit a completed Affiliate application via our website. We will notify you of your acceptance or rejection in a timely manner. We may reject your application if we determine (at our sole discretion) that your site is unsuitable for the Program; that your site incorporates images of in any way libelous, defamatory, obscene, pornographic, threatening, invasive of privacy or publicity rights, abusive, illegal, hateful, harassing, racially or ethnically discriminatory or otherwise objectionable; or that your site incorporates any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights. We reserve the right to review any Sponsoring Web Site. Even after an acceptance of your application, to confirm that the site continues to meet our criteria for suitability. Using vss2000.com's Links on Your Site Once you are accepted as an Affiliate Partner, vss2000.com will provide you with variety of links to vss2000.com's Web site, which may include any number of graphical and textual links, banner advertisements and button links, incorporating Vector2000's logo and words identifying vss2000.com which, subject to the terms and conditions hereof, you may display on your site. You may place this vss2000.com Link on the Sponsoring Web Site at any time and in as many areas of your site as you wish. You may also use one or more of the Financial Content modules provided by us through our Financial Content for Webmasters Program. By using the vss2000.com Link or Content, you agree that you will be fully responsible for, and will cooperate fully with us in, establishing, placing and maintaining the vss2000.com Links or Content on your Sponsoring Web Site. You also agree that you will not modify the vss2000.com Links or Content without our express prior written consent. Service Processing We will track service registration made by Affiliates who use the vss2000.com link from your web site. We will be responsible for all aspects of order processing and fulfillment, including correcting any errors which may occur on our tracking system (the system that tracks the total number of actual sales leads) in order to determine the amount of your commission payment. The volume and amount of sales generated using the links from your site to ours will be tracked by our tracking data. You will have access to vss2000.com's Affiliate reporting center, where you can check your site's sales activity on a daily basis. To permit accurate tracking and reporting, you must ensure that the links between your site and our site are properly formatted. We shall not be responsible for any errors you or your customers make which result in any loss of any tracking information contained in the link. Commissions We agree to pay you the commission stated if a customer follows a Qualified link from your website to vss2000.com and performs the following qualified acts: Properly and completely fills out an Account Application Form and submits it to vss2000.com; proceeds to the Account Activation Form and activates their account by making the required payment for the selected service(s). You
will receive credit only for those Qualified Acts that are Unique
Requests, as defined above. We will send you a commission payment
for the applicable amount within approximately ten (10) days after
the first of each month. The amount on the commission is subject to the number of actual sales leads that are generated by the Sponsoring Web sites, including any tier affiliates, that is approved by auditing process conducted by vss2000.com. Responsibility for Your Site You will be solely responsible for the development, operation and maintenance of your site and for all materials that appear on your site, including without limitation:
We disclaim all liability for matters relating to the development, content, operation and maintenance of your site. You will indemnify and hold us harmless from all claims, damages and expenses (including, without limitation, attorney's fees) relating to the development, operation, content and maintenance of your site. Ownership and License Subject to the terms of this Agreement, we grant you a non-exclusive, revocable, limited right to use the Logo solely on your Sponsoring Web Site and for the purpose creating links from your website to the vss2000.com Site during the Program. You may not modify the Vector2000 Logo or any of our images in any way. We reserve all of our rights in the Logo, any other images, our trade names, trademarks and copyrights and all other intellectual property rights. Goodwill arising from your use of the Logo shall inure solely to the benefit of vss2000.com. Upon cancellation or termination of this Agreement, you agree to cease all use of the Logo. Disclaimer vss2000.com makes no representations or warranties of any kind, express or implied, with respect to the Affiliate Program or any services subscribed through the Affiliate Program or otherwise on our Website. In addition, we make no representation or warranty that the links, Content Modules and Data, the operation of our Website, or vss2000.com's procedures and systems for tracking sales generated by your site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. IN NO EVENT SHALL vss2000.com BE LIABLE FOR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF REVENUE, PROFITS, OR DATA, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE AFFILIATE PROGRAM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. vss2000.com will make every effort to keep www.vss2000.com operational. However, certain technical difficulties may, from time to time, result in temporary service interruptions. You agree not to hold us liable for any consequence of any interruptions in or loss of service. Term of the Agreement: This term will begin on the date that we notify you that you have been approved as an Affiliate and shall end when canceled or terminated by either party as provided below. Commissions earned through the date of cancellation or termination of this agreement will remain payable. Payment of the final commission payment to you may be withheld for a reasonable time in order to ensure that the correct amount is paid. Termination: The term of this Agreement will begin upon our acceptance of your program application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause. You are required to provide Vector2000 at least ten (10) days' notice of termination via email. Vector2000 has the right to terminate this Agreement at any time with or without cause at any time, at its sole discretion. If it is determined that commissions are deemed fraudulent, the commissions will not be paid, otherwise all outstanding commissions will be properly distributed upon termination.
